Heather Sharp

Heather’s practice is focused on complex business disputes, including business torts. Heather has a broad range of experience, having worked at both large and small law firms and having represented clients ranging from individuals to international corporations. She is experienced in all phases of litigation and arbitration, from initial pleadings through appellate practice. Heather is admitted to practice in New York and Georgia and has litigated in various states and courts, including New York, Florida, Massachusetts, and the United States Tax Court.

Heather has litigated to conclusion or resolution matters including:

  • Employment disputes, including non-competes, non-solicits, breaches of fiduciary duty, theft of trade secrets, and tortious interference;
  • Disputes among business partners for breaches of duties and contract;
  • Professional negligence claims involving attorneys;
  • Collections and fraudulent transfer actions;
  • Disputes against banks and lenders;
  • Disputes regarding breaches of technology and services contracts.

Prior to joining the Firm, Heather was an associate at the New York City office of the international law firm White & Case LLP, where she represented corporations, banks, and individuals in a broad range of disputes, including tax fraud defense, bankruptcy, contract defense, and business torts.

Heather earned her law degree from Vanderbilt University Law School, where she received academic awards and served as an Executive Justice on the Moot Court Board. Heather also has a Masters of Arts in East Asian Studies from Duke University and a Bachelor of Arts from the University of Georgia. Heather is originally from Atlanta and has lived in New York, China, and Taiwan.

Heather is an alumni of the Your Lawyers Division Leadership Academy, which emphasizes participation the Georgia Bar.

Selected Cases and Representations

  • Successfully defended a contract and unjust enrichment claim brought by an employee against client, a fund manager, in which the employee was claiming entitlement to carried interest. The trial court granted summary judgment to our client, and the employee did not appeal.
  • Mosaic Business Advisory Services, Inc. v. Stone, 336 Ga. App. 28 (Ga. Ct. App. 2016) (obtained affirmation of jury verdict in favor of client in a dispute over compensation and bonus)
  • Successfully negotiated a temporary restraining order, including a non-solicit and non-compete in favor of client and against former employees who had no restrictive covenants, but had wrongfully solicited clients prior to termination
  • Obtained arbitration award in favor of client, a technology company, against a customer who had terminated a service contract which had a minimum term of 3 years. The customer had originally sued the client. Heather successfully defended that claim, and won damages for the client on its counterclaims.
  • Obtained a jury verdict of nearly $1 million in favor of client, a political consultant, and against members of a winning bid team who had failed and refused to pay client her consulting fee
  • Uwork.com, Inc. v. Paragon Technologies, Inc., 740 S.E.2d 887 (Ga. Ct. App. 2013)(obtained 5-2 decision in favor of client, including reversing the decision of the trial court on claim for breach of fiduciary duty)
  • Bommer v. Reynolds and Gareleck, No.11-12115, 465 Fed.Appx. 876 (11th Cir. 2012) (successfully represented partner in a business against other partners in breach of contract case)
  • SR Hotel Development Company, LLLP v. Stein, Civil Action File No. 2010-CV-193905 (Superior Court, Fulton County) (successfully represented real estate developer in a breach of contract claim against purchaser)
  • BLD Productions, LLC v. Remote Productions, Inc., Viacom Inc. d/b/a MTV Networks, 509 Fed. Appx. 81 (2nd Cir. 2013) (successfully represented a production company in a dispute with a distributor, and achieved a reversal of the Southern District of New York’s dismissal on statute of limitations grounds)
  • In a dispute between former partners regarding the management of a parcel of real estate, successfully represented a former partner who was awarded over $600,000 in damages by the jury.
  • Successfully defended a fraud and misrepresentation claim against an investment company, winning at the motion to dismiss stage in New York state court.
  • Successfully represented an individual client before the New York State Division of Tax Appeals, resulting in a finding of no personal liability regarding a sales tax assessment.
  • In a trial regarding a family law dispute, Heather not only defended against a breach of contract claim, but won damages for the defendant on a counterclaim.
  • In arbitration, Heather has represented an international private equity firm in a successful defense of a multimillion dollar claim for breach of contract and fraud.
